Either party may request a dispute under this Agreement be submitted to a mediator who may meet or otherwise confer with the parties and attempt to resolve such dispute by agreement. If the parties are unable to voluntarily and amicably resolve such dispute, and neither party commences litigation, such litigation shall be brought only in the Court of Common Pleas of Lancaster County, Pennsylvania or in the Federal District Court for the Eastern District of Pennsylvania.

In no event shall Country Knives or any of its officers, directors, employees, shareholders, or representatives be liable to a purchaser for any indirect, incidental, exemplary, special or consequential damages or loss profits of any nature whatsoever, however, caused, and regardless of the form of action even if Country Knives has been advised of the possibility thereof, which damages may arise out of or be related to the sale of products or the performance or breach thereof. If the purchaser is a merchant purchasing items subject to the Uniform Commercial Code, then, pursuant to Section 2725 of the Uniform Commercial Code, any action for an alleged breach of agreement or to enforce any right during under any agreement, other than an action by Country Knives to collect amounts due, shall be commenced within one (1) year after the cause of action has accrued (i.e., when the breach occurs regardless of knowledge), or such breach or right shall be deemed waived and barred.

Country Knives shall not be liable for any delay or failure to perform if such delay or failure is due to strikes or other labor disruption, inclement weather or other forces of nature, fire or other casualty events, or other matters beyond Country Knives’ control. If such an event is temporary, Country Knives shall (upon cessation of such event) use its best effort to perform within a reasonable time thereafter.

If any payment is not made, when due, to Country Knives there shall be added a finance charge equal to the current finance charges of Country Knives. If any check is given in payment and is returned for insufficient funds, the payor will be charged the greater of $30.00 or the amount charged by Country Knives’ financial institution for such return of checks. Any person purchasing goods from Country Knives through this Site agrees to pay to Country Knives, in addition to any other amounts due, the costs and expenses incurred by Country Knives when collecting such amounts, including attorneys’ fees and court costs.
